Abstract: The director’ s duty of care in Vietnam is in its infancy . Many of the existing provisions are borrowed from other jurisdictions and require implementation and evolution to make them uniquely Vietnamese. As part of the existing duties, Vietnam currently stipulates a duty to the ‘State’ and this could form a cornerstone for their own model of corporate social responsibility
